Agreement to Terms
These Terms of Service (“Terms” or “TOS”) constitute the entire agreement between Litz Digital, LLC (“Litz Digital”) and our customers for website hosting and maintenance services, and supersede any prior written or oral agreements. Litz Digital reserves the right to modify these Terms at any time. Material changes will be communicated to customers with 30 days’ notice via email. Continued use of our services after such notice period constitutes acceptance of the modified Terms.
By using any services offered by Litz Digital, customers agree to comply with these Terms. Litz Digital reserves the right to determine, in good faith, whether a violation has occurred and may take appropriate action, including service suspension, termination, and where warranted, legal action. Customers who do not agree to these Terms should not use our services and may terminate their account according to the termination procedures outlined below.
Definitions
For the purposes of these Terms:
- “We,” “Us,” “Our,” “Provider,” or “Litz Digital” refers to Litz Digital, LLC
- “You,” “Your,” “Client,” “Customer,” or “Member” refers to each person or entity who subscribes to or uses Litz Digital services, or any authorized representative thereof
- “Services” refers to website hosting, website maintenance, and related services provided by Litz Digital
- “Account” refers to the customer’s service account with Litz Digital
General Provisions
In consideration for Litz Digital maintaining one or more Accounts and providing Services, you, as the Litz Digital customer, agree to these Terms of Service.
Service Disclaimer and Limitations
Nature of Internet Services
Internet and website hosting services rely on a complex network of hardware, software, network services, and information providers. Due to the interdependent nature of these systems, not all services may be available at all times.
Third-Party Dependencies
Litz Digital is not responsible for service interruptions caused by:
- Third-party provider hardware or network malfunctions outside of our direct control
- Issues arising from customer actions or website configurations
- External attacks, including but not limited to DDoS attacks, hacking attempts, or other cybersecurity incidents targeting customer websites
- Force majeure events as defined in these Terms
Our Commitment
While we cannot guarantee uninterrupted service, Litz Digital commits to:
- Working diligently with our hosting partners to minimize downtime
- Responding promptly to service issues within our control
- Maintaining reasonable security measures to protect our infrastructure
Warranty Disclaimer
LITZ DIGITAL PROVIDES SERVICES ON AN “AS IS” AND “AS AVAILABLE” BASIS. WE MAKE NO EXPRESS OR IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT WITH RESPECT TO THE SERVICES PROVIDED.
Limitation of Liability
To the maximum extent permitted by applicable law:
- Neither Litz Digital nor any third-party providers involved in delivering our Services shall be liable for any indirect, incidental, special, consequential, or punitive damages
- Our total liability for any claim arising from these Terms or our Services shall not exceed the amount paid by you for the Services in the three (3) months preceding the claim
- These limitations apply regardless of the legal theory on which the claim is based and whether we have been advised of the possibility of such damages
The above limitations do not apply to liability arising from gross negligence or willful misconduct where such limitations are prohibited by applicable law.
Additional Terms
General
If any provision of this Agreement is held to be unenforceable, the enforceability of the remaining provisions shall in no way be affected or impaired thereby. This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire. A failure by any party to exercise or a delay in exercising a right or power conferred upon it in this Agreement shall not operate as a waiver of any such right or power.
Length of Service
Client agrees to an initial one (1) month contractual term of service (“Term”).
Renewal by Client
This Agreement will automatically renew for successive one (1) month Terms unless canceled in writing by Client at least 30 days before the end of the Term renewal date. Renewal prices are subject to change. Renewal of services by Client indicates agreement to any price changes. Renewal fees for the following term will be automatically invoiced to the Client’s account.
Termination
This Agreement may be terminated by either party, Litz Digital or Client, at any time with 30 days’ written notice. All site files and databases will be exported and made available to the client for 90 days, after which the files will be permanently deleted.
Disputes
If legal proceedings are commenced to resolve a dispute arising out of, or relating to, this Agreement, the prevailing party shall be entitled to recover all costs, legal fees, and expert witness fees as well as any costs or legal fees in connection with any appeals.
Indemnification
Client shall indemnify and hold Litz Digital harmless from and against any and all claims, judgments, awards, costs, expenses, damages and liabilities (including reasonable attorney fees) of whatsoever kind and nature that may be asserted, granted or imposed against Litz Digital directly or indirectly arising from or in connection with Client’s marketing or support services of the product or services or the unauthorized representation of the product and services or any breach of this Agreement by Client.
